Agreement for Personal Wedding Website Services
This Agreement is made as of the Effective Date stated herein between Beautiful-Wedding.com by GT Media Inc ("GT Media") and the Purchasing Party (“The Client”) named in the completed Order Form. This Agreement, together with the standard terms and selections comprising the completed Order Form constitute the entire contract between the parties.
1. Personal Wedding Website - GT Media agrees to host or arrange for hosting of a personal internet website on the world wide web to display event information provided by the Client, in accordance with the general terms herein and the specifics for the Package selected by the Client.
2. Term and Effective Date - The Personal Wedding Website will be displayed for a period of one year commencing the Effective Date of this Agreement. The Effective Date of the Agreement shall be the date on which a completed Order Form is received by GT Media together with the Payment due under this Agreement ("Purchase Date") or another later date as specified in writing by the Client on the Purchase Date.
3. Fees - The fees due to GT Media under this Agreement shall be based upon the Price stated in the Order Form for the Package selected by the Client. Payment must accompany the completed Order and shall be 100 percent (100%) of the Price for the selected Package. If not completely satisfied with the Personal Wedding Website, the Client has 30 days from the Purchase Date to request a refund, otherwise the Payment shall be nonrefundable.
4. Payment of Fees - Payment to GT Media will be accepted by credit card (Visa or Mastercard), check, or money order.
5. Limitation of Liability - Any claim against GT Media for any cause shall be limited to the amount received from the Client by GT Media, and under no circumstance shall GT Media be held liable for any claim of breach of privacy, or otherwise, for display on the Personal Wedding Website of information supplied by the Client, nor shall GT Media be subject to any claim of consequential damages or be liable to third parties for information received from the Client and displayed on the Personal Wedding Website. Moreover, GT Media shall not be liable for any claim or damage caused by or related to delay in display of, the actual display of, or access to, information on the Personal Wedding Website, or relating to information accessed on the Personal Wedding Website by use of tools other than Internet Explorer or Netscape.
6. Reservation - GT Media shall have the right in its sole discretion to refuse to publish or display on the Personal Wedding Website any information or photographs that it deems to be offensive or inappropriate for public display.
7. Ownership - All materials developed for the Client by GT Media for the Personal Wedding Website shall be the property of GT Media. This shall include all computer software and code used to display the Personal Wedding Website and all designs and copyrights. Non-electronic photographs submitted to GT Media by the Client for inclusion in the Personal Wedding Website shall remain the property of the Client.
8. Assignment - GT Media reserves the right to assign its rights and delegate its duties to a corporation organized for the purpose of discharging such obligations and the Client agrees to accept such assignment and delegation.
9. Representation - The Client represents and warrants that s/he has the right to submit and have published all information and photographs provided to GT Media, without any claims of third parties. The Client further represents and warrants that all persons whose images are shown in photographs submitted for publication on the Personal Wedding Website have consented to such publication. The Client agrees to hold GT Media harmless for any claim arising out of breach of this representation or warranty.
